01Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Globaleur website and any materials, demos, or content we make available through it (collectively, the "Site"). The Site is operated by MG Innovation Lab, Inc., doing business as Globaleur ("Globaleur," "we," or "us"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Use of the Globaleur platform under a paid or evaluation subscription is governed by a separate written agreement (such as a Master Services Agreement and our Data Processing Addendum), which controls in the event of any conflict with these Terms.

02Definitions

"Content" means text, graphics, data, and materials made available on the Site. "You" means the individual or entity accessing the Site. "Platform" means Globaleur’s AI infrastructure products offered under separate agreement.

03Use of the website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business and evaluation purposes, subject to these Terms. You must be at least the age of majority and authorized to act on behalf of any entity you represent.

04Evaluations & demos

We may offer demos, sandboxes, or evaluation materials. These are provided for assessment only, on an "as is" basis, may change or be withdrawn at any time, and are not a commitment to provide any product or feature. Any data you submit in a demo should be non-production and must not include sensitive personal information.

05Intellectual property

The Site and all Content, including the Globaleur name, logo, and marks, are owned by or licensed to us and are protected by intellectual-property laws. Except for the limited license above, no rights are granted to you. You may not copy, modify, distribute, frame, scrape, or create derivative works from the Site without our prior written consent.

06Acceptable use

You agree not to:

• use the Site in violation of any law or third-party right;
• attempt to gain unauthorized access to the Site or related systems;
• interfere with or disrupt the integrity or performance of the Site;
• introduce malware or conduct automated scraping outside permitted means; or
• misrepresent your identity or affiliation.

07Third-party content

The Site may link to third-party websites or include third-party content. We do not control and are not responsible for third-party sites or content, and links do not imply endorsement. Your use of third-party services is governed by their terms.

08Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure.

09Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBALEUR AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF GLOBALEUR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBALEUR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED USD 100.

10Indemnification

You agree to indemnify and hold harmless Globaleur and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Site or breach of these Terms.

11Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Site will be the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

To the maximum extent permitted by law, you and Globaleur agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. No court or arbitrator may consolidate more than one person’s claims or otherwise preside over any form of representative or class proceeding.
